INDEPENDENT CONTRACTOR AGREEMENT

This Independent Contractor Agreement ("Agreement") is made effective as of 01/14/2026, by and between Artful Antics LLC, a California Limited Liability Company with its principal place of business at 7803 Industry Ave Unit B, Pico Rivera, CA 90660 ("Company"), and , an individual with a principal place of business at ("Contractor").

1. Scope of Coverage. This Agreement governs all services performed by Contractor for Company, whether past, present, or future. Both parties acknowledge and agree that the terms herein apply to the entirety of Contractor’s engagement with Company.

2. Services. Contractor shall perform the stage management services described in Exhibit A ("Services") in a professional manner, consistent with industry standards for sound stage operations. Contractor has the sole discretion to determine the means, methods, and manner of performing the Services, subject to the specifications in Exhibit A.

3. Independent Contractor Status. The parties intend that Contractor is an independent contractor and not an employee of Company. Contractor:
a. Is free from Company’s control and direction over the performance of Services;
b. Performs Services outside the usual course of Company’s business, which is [e.g., event production, creative services];
c. Is customarily engaged in an independently established trade, occupation, or business of stage management.
Contractor shall be responsible for all taxes, insurance, and compliance with applicable laws.

4. Compensation. Company shall pay Contractor as outlined in Exhibit A via Zelle within 5 business days of the 1st and 15th of each month. Contractor is responsible for all expenses unless agreed in writing by Company.

5. Term and Termination. This Agreement begins on 01/14/2026 and continues until completion of the Services, with coverage for all past services as provided in Section 1. Either party may terminate this Agreement with 14 days’ written notice or immediately for material breach. Upon termination, Contractor shall deliver all work product to Company.

6. Confidentiality. Contractor shall execute the Non-Disclosure Agreement attached as Exhibit B, which is incorporated herein.

7. Compliance with Laws. Contractor shall comply with all applicable federal, state, and local laws, including California’s AB5/AB2257. Contractor represents that they meet the criteria for independent contractor status under California law.

8. Governing Law. This Agreement shall be governed by the laws of the State of California.

9. Entire Agreement. This Agreement, including all Exhibits, constitutes the entire agreement between the parties and supersedes all prior agreements.

Exhibit A: Scope of Services and Compensation

- Services: Contractor shall provide stage management services for sound stages at 7803 Industry Ave Unit B, Pico Rivera, CA 90660, including but not limited to coordinating crew, ensuring safety protocols, managing equipment, and overseeing production schedules as directed by Company.
- Compensation: Contractor shall be paid $18 per hour for the first 8 hours worked per day, $27 per hour (1.5 times the regular rate) for the next 2 hours, and $36 per hour (double time) for every hour thereafter, payable via Zelle within 5 business days of the 1st and 15th of each month.
- Expenses: No expenses are reimbursable unless agreed in writing by Company.

Exhibit B: Non-Disclosure Agreement (See separate agreement)

NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement ("NDA") is made effective as of 01/14/2026, by and between Artful Antics LLC, a California Limited Liability Company with its principal place of business at 7803 Industry Ave Unit B, Pico Rivera, CA 90660 ("Company"), and , an individual with a principal place of business at ("Contractor").

1. Scope of Coverage. This NDA governs all Confidential Information disclosed to Contractor by Company, whether past, present, or future. Both parties acknowledge and agree that the terms herein apply to the entirety of Contractor’s engagement with Company.

2. Definition of Confidential Information. "Confidential Information" includes all non-public information disclosed by Company to Contractor, including but not limited to production schedules, client lists, vendor contracts, financial data, and trade secrets related to Company’s operations.

3. Obligations. Contractor shall:
a. Use Confidential Information solely for performing stage management services for Company;
b. Not disclose Confidential Information to any third party without Company’s prior written consent;
c. Protect Confidential Information with at least the same degree of care as Contractor uses for their own confidential information, but no less than reasonable care.

4. Exclusions. Confidential Information does not include information that:
a. Is publicly known through no fault of Contractor;
b. Was known to Contractor prior to disclosure by Company;
c. Is independently developed by Contractor without use of Company’s Confidential Information.

5. Duration. Contractor’s obligations under this NDA shall continue during the term of their engagement with Company and for 10 years thereafter.

6. Return of Information. Upon termination of Contractor’s engagement or at Company’s request, Contractor shall return or destroy all Confidential Information and certify such action in writing.

7. Governing Law. This NDA shall be governed by the laws of the State of California.

LIABILITY AND INDEMNITY AGREEMENT

This Liability and Indemnity Agreement ("Agreement") is made effective as of 01/14/2026, by and between Artful Antics LLC, a California Limited Liability Company with its principal place of business at 7803 Industry Ave Unit B, Pico Rivera, CA 90660 ("Company"), and , an individual with a principal place of business at ("Contractor").

1. Scope of Coverage. This Agreement governs all liabilities and indemnification obligations related to Contractor’s services for Company, whether past, present, or future. Both parties acknowledge and agree that the terms herein apply to the entirety of Contractor’s engagement with Company.

2. Contractor Responsibilities. Contractor shall:
a. Maintain all necessary licenses and permits required to perform stage management services;
b. Be solely responsible for all taxes, withholdings, and compliance with applicable laws;
c. Perform services in a professional manner, free from negligence or misconduct.

3. Limitation of Liability. Company shall not be liable for any indirect, incidental, or consequential damages arising from Contractor’s performance of services, except as required by law.

4. Indemnification. Contractor shall indemnify, defend, and hold harmless Company, its officers, directors, and employees from any claims, damages, or liabilities arising from:
a. Contractor’s negligence, willful misconduct, or breach of this Agreement;
b. Contractor’s failure to comply with applicable laws;
c. Any third-party claims related to Contractor’s stage management services.

5. Insurance. Contractor shall maintain general liability insurance with minimum coverage of $1,000,000 per occurrence and provide proof of coverage upon request.

6. Governing Law. This Agreement shall be governed by the laws of the State of California.

DISPUTE RESOLUTION AGREEMENT

This Dispute Resolution Agreement ("Agreement") is made effective as of 01/14/2026, by and between Artful Antics LLC, a California Limited Liability Company with its principal place of business at 7803 Industry Ave Unit B, Pico Rivera, CA 90660 ("Company"), and , an individual with a principal place of business at ("Contractor").

1. Scope of Coverage. This Agreement governs all disputes related to Contractor’s services for Company, whether past, present, or future. Both parties acknowledge and agree that the terms herein apply to the entirety of Contractor’s engagement with Company.

2. Informal Resolution. The parties shall first attempt to resolve any dispute arising from or related to Contractor’s engagement with Company through good-faith negotiations within 30 days of written notice of the dispute.

3. Mediation. If informal resolution fails, the parties shall submit the dispute to non-binding mediation administered by a mutually agreed-upon mediator in Los Angeles County, California. The parties shall share mediation costs equally.

4. Arbitration. If mediation fails, the dispute shall be resolved by binding arbitration administered by JAMS in Pico Rivera, Los Angeles County, California, under its Comprehensive Arbitration Rules. The arbitrator’s decision shall be final and enforceable in any court of competent jurisdiction. Each party shall bear its own legal fees, and arbitration costs shall be shared equally unless otherwise awarded by the arbitrator.

5. Exceptions. This Agreement does not apply to claims for injunctive relief to protect Confidential Information or enforce non-solicitation obligations, which may be pursued in a court of competent jurisdiction.

6. Governing Law. This Agreement shall be governed by the laws of the State of California.

Tardiness Policy
